1. Applicability
- 1.1
These terms and conditions apply to all offers, quotations, work, agreements, and deliveries provided by Studio Erwin Sala, hereinafter referred to as “We” or “Us”. - 1.2
Deviations from these conditions shall only be binding if agreed in writing.
2. Quotations and Agreements
- 2.1
All quotations are non-binding, unless otherwise stated. - 2.2
An agreement is formed once the client gives written or email approval of the quotation.
3. Prices and Payment
- 3.1
All prices are exclusive of VAT, unless otherwise indicated. - 3.2
Payment must be made within 14 days from the invoice date, unless otherwise agreed. - 3.3
If payment is not made on time, we are entitled to charge statutory interest and collection costs.
4. Execution of the Agreement
- 4.1
We will execute the assignment to the best of our knowledge and ability, but cannot guarantee that the intended results will be achieved. - 4.2
The client shall provide all necessary information and materials in a timely manner for the execution of the assignment.
5. Intellectual Property
- 5.1
All intellectual property rights to the works developed by us, such as designs, texts, code, and images, remain with us, unless otherwise agreed in writing. - 5.2
Upon full payment of the invoice, the client may obtain a license to use the work as described in the agreement.
6. Liability
- 6.1
Our liability is limited to compensation for direct damages up to a maximum of the agreed price for the assignment (exclusive of VAT). - 6.2
We are not liable for indirect damages, consequential damages, or lost profits.
7. Force Majeure
- 7.1
In case of force majeure, we reserve the right to suspend or terminate the execution of the agreement without any obligation to pay damages. - 7.2
Force majeure refers to any circumstance beyond our control that temporarily or permanently prevents the fulfillment of our obligations.
8. Termination
- 8.1
Both parties may terminate the agreement in writing, subject to the notice period specified in the agreement. - 8.2
In the event of early termination, the client is entitled to receive the work already completed, upon payment of the incurred costs.
9. Governing Law and Disputes
- 9.1
This agreement is subject to Dutch law. - 9.2
Disputes will initially be submitted to the competent court in Amsterdam.
10. Amendments
- 10.1
We reserve the right to amend these terms and conditions. The amended terms apply to new agreements, not to ongoing ones.
